Between Us Birdies is a community built on belonging and respect. There is zero tolerance for objectionable content or abusive behavior. You agree not to use this Website or app, or any content you submit (including reviews and comments):

  • to harass, abuse, or threaten any other person, or to otherwise violate any other person's legal rights;
  • to publish or distribute any obscene or defamatory material;
  • to publish or distribute any material that incites violence, hatred, bullying, harassment, or discrimination toward any person or community;
  • to violate any intellectual property rights of the Company or any third party;
  • to upload or disseminate any computer viruses or other harmful software;
  • to commit any kind of fraud, or to engage in unlawful gambling, sweepstakes, or pyramid schemes;
  • to unlawfully gather information about others;
  • to reverse engineer or disassemble any code or software from the service;
  • to violate the security of the service through unauthorized access, circumvention of security tools, data mining, or interference with any host, user, or network.

We reserve the right to remove any content and to suspend or terminate any account that violates these standards. You can report objectionable content using the report option on any review, and we act on reports promptly.

8. User Content & Reviews

"User Content" means any ratings, reviews, comments, photos, or other materials you submit or publish on this Website or app. By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, host, store, reproduce, modify, publish, publicly display, and distribute that content in any media, including to operate and promote the Service. This license continues even after you delete your account; however, we will remove your name and personal identifiers from your content as described in our Privacy Policy.

Review guidelines. Reviews must reflect your own genuine, firsthand experience. You agree not to: submit false, misleading, or fraudulent reviews; post or solicit reviews in exchange for compensation or incentives; review a course in which you have a financial or personal conflict of interest; or post duplicate, spam, or off-topic content. We may remove any content that violates these guidelines.

No endorsement. Reviews and other User Content reflect the opinions of the individuals who post them, not the Company. The Company does not endorse, verify, or take responsibility for any User Content, and you rely on it at your own discretion.

9. Your Responsibility

Any user ID and password you create are confidential, and it is your responsibility to safeguard your own ID and password.

10. Data Loss

The Company does not accept responsibility for the security of your account or content. You agree to use the Website and app at your own risk.

11. Advertising Content

The Website or app may show advertisements for or links to third-party websites, products, and/or services ("Third-Party Ads"). The Company is not responsible for the availability of these Third-Party Ads or the images, content, or any other materials contained therein.

12. No Surreptitious Code

The Company agrees that, to the best of its knowledge, the Website and app do not contain any code or mechanism that collects personal information or maintains control of your system without your permission. You warrant that you will not knowingly introduce any spyware, adware, ransomware, rootkit, keylogger, virus, trojan, worm, or other malicious code.

13. Warranties

You acknowledge and agree that the submission of any information is at your sole risk, and to the maximum amount, the Company disclaims any and all liability to you for any loss or liability relating to such information in any way. The Company makes no warranties that the Website, app, or Service will be uninterrupted, error-free, or secure.

14. Termination

You are free to stop using this Website or app at any time, and you may delete your account from your profile. The Company reserves the right to terminate this Agreement at any time for any reason, with or without cause, including if you violate any of the terms outlined herein.

15. Arbitration

In the event of any dispute arising in and out of this Agreement, it shall be resolved by arbitration. There shall be one arbitrator, appointed by OG Foresome, LLC. The venue and seat of arbitration shall be Delaware. The arbitrator's decision shall be final and binding on both parties.

16. Limitation of Liability

In no event shall the Company be liable for any loss or damage that may occur to you arising out of or in any way connected with your use of this Website or app.

17. Indemnification

You hereby indemnify and hold the Company harmless from and against any and all liabilities, legal claims, demands, damages, and expenses (including reasonable attorney's fees) arising out of or in any connection which may relate to your breach of this Agreement or your use or misuse of the Website, app, or Services.

18. Notices

Any notices required or permitted by this Agreement shall be in writing and delivered by certified mail or courier to the address on file.

19. Severability

In the event any provision of this Agreement is deemed to be invalid or unenforceable, in whole or part, that part shall be severed from the remainder of this Agreement, and all other provisions shall remain in full force and effect as valid and enforceable.

20. Governing Law

This Agreement shall be governed following the laws of Delaware. If disputes under this Agreement cannot be resolved by arbitration, they shall be resolved by litigation in the courts of Delaware, including the federal courts therein, and the parties all consent to the jurisdiction of such courts.

21. Entire Agreement

This Agreement sets forth and represents the agreement between the parties.

22. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Website or app after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

23. Copyright Complaints

We respect intellectual property rights. If you believe content on the Service infringes your copyright, please contact us at support@betweenusbirdies.com with a description of the work, the location of the allegedly infringing material, your contact information, and a statement that you have a good-faith belief the use is not authorized. We will respond to valid notices and may remove the content.

24. Apple App Store

If you downloaded our app from the Apple App Store, you acknowledge that: this Agreement is between you and Between Us Birdies only, not Apple; Apple has no obligation to provide support or maintenance for the app; Apple is not responsible for any product warranties or claims relating to the app; and Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you. You also agree to comply with all applicable Apple App Store Terms of Service.
